SENIOR MANAGEMENT

Our board of executive officers (diretoria) is responsible for managing and operating our business. We also have an advisory board that serves as an advisory body to support the decision-making process of our board of executive officers and our shareholders in supervising our business. We do not have a board f directors (conselho de administração).

BOARD OF EXECUTIVE OFFICERS

Our board of executive officers is our executive management body. Our executive officers are our legal representatives and are responsible for our internal organization and day-to- day operations and the implementation of the general policies and guidelines established from time to time by our board of executive officers.

Under our bylaws, we must have a minimum of two and a maximum of eight officers, who may or may not be a shareholder. Any officer may be removed by the [vote of our shareholders at our annual shareholders’ meeting before the expiration of his/her term]. Our board of executive officers is currently comprised of seven members.

Reinaldo José Kroger Chief Executive Officer (CEO)
Reinaldo José Kroger. Mr. Kroger joined Unigel in May 2015 and has been our Chief Executive Officer (CEO) since then. He has more than 35 years of experience in the chemicals industry. Prior to joining Unigel, Mr. Kroger held executive leadership positions at Rhodia, where he worked from 1979 to 2006, and Vicunha Têxtil, from 2006 to 2015. Mr. Kroger holds a business administration degree from the Faculdade de Economia e Administração de Osasco and a business administration specialization degree from Fundação Dom Cabral and INSEAD.
Daniel Zilberknop Chief Financial Officer (CFO)
Daniel Zilberknop. Mr. Zilberknop joined Unigel in 2002 and has been our Chief Financial Officer since 2011. Mr. Zilberknop has more than 20 years of experience in finance management. He has held several different positions in our group, serving as controller and finance officer at Polo in 2002, finance officer at Unigel in São Paulo in 2005 and general manager at Unigel Mexico in 2011. He holds a business administration degree from Universidade Católica de Pelotas and a post-graduate degree in finance from Fundação Getúlio Vargas (FGV). He also holds an MBA from the Massachusetts Institute of Technology (MIT) and an executive MBA from Fundação Dom Cabral.
Abraham Klip Moshinsky Strategy Executive Officer; CEO, Unigel Mexico
Abraham Klip Moshinsky. Mr. Klip joined Unigel in 2015 as the Chief Executive Officer for our Mexican operations. He is also board member of the chemical company Oxiteno Mexico S.A. de C.V. since 2012. He has more than 35 years of experience in the chemicals industry. Prior to that, he held leadership positions at Industrias Bre S.A. de C.V., Pemex Petroquímica and Industrias Negromex S.A. de C.V., among others. He also served as a consultant for the Mexican Institute of Petroleum. Mr. Klip holds a bachelor’s degree in chemical engineering from Universidad Autónoma Metropolitana, in Mexico City, Mexico, and holds a Master of Science degree in engineering from the Chemical Engineering Department of the University of Texas at Austin, in the United States.
Wendel Oliveira de Souza Commercial Executive Officer
Wendel Oliveira de Souza. Mr. Souza joined Unigel in 1994. He is currently our Commercial Executive Officer, a position he has held since 2015. He has held several different positions in our group, serving as executive officer for areas such as financial planning and controllership. He has 24 years of experience in the chemicals industry. Mr. Souza holds an accounting degree from Pontifícia Universidade Católica de São Paulo (PUC-SP), in Brazil, and is an MBA candidate from Instituto de Pesquisa e Ensino (Insper), in Brazil.
Edson de Paiva Alves Industrial Executive Officer
Edson de Paiva Alves. Mr. Alves started his professional career by joining Unigel in 1995, and accordingly has 23 years of experience in the chemicals industry. He is currently our Industrial Executive Officer, a position he has held since 2016. Prior to that, he has held several leadership positions, serving as executive officer for technology, projects and supply chain areas. Mr. Alves holds a chemical engineering degree from Escola Politécnica da Universidade de São Paulo (Poli-USP), in Brazil, and a master’s degree in energy from Universidade Salvador (UNIFACS) in Brazil.
José Roberto Heleno de Marquis Industrial and Sustainability Executive Officer
José Roberto Heleno de Marquis. Mr. Marquis joined Unigel in 2001 and has been our Industrial and Sustainability Executive Officer since 2015. He has served in several production areas of the company, responsible for environmental, health and safety conditions in our operations. Prior to joining Unigel, he has worked for Dixie Toga. He has 22 years of experience in the chemicals industry. Mr. Marquis holds a chemical engineering degree from Faculdade de Engenharia Industrial (FEI), in the State of São Paulo, and specializations in environmental management and technologies, and industrial management, both from Universidade de São Paulo (USP), and in safety engineering from Universidade Santa Cecília (Unisanta), in Brazil. He also holds an executive MBA from Fundação Getúlio Vargas (FGV).
Daniel Scarmeloti da Fonseca Controllership and Financial Planning Executive Officer
Daniel Scarmeloti da Fonseca. Mr. Fonseca joined Unigel in 2015 as our Controllership and Financial Planning Executive Officer. Prior to joining Unigel, he worked for Grupo Brasfanta as Corporate Controller and for 17 years for PricewaterhouseCoopers Brasil as audit senior manager, rotating in several areas. He also worked for Deloitte Touche Tohmatsu Auditores Independentes and Banco Bradesco. Mr. Fonseca holds an accounting degree from Pontifícia Universidade Católica de São Paulo (PUC-SP), in Brazil, and holds an executive MBA from the Brazilian Business School (BBS), in Brazil. He also obtained an IFRS certificate from the Association of Chartered Certified Accountants (ACCA).

 

ADVISORY BOARD

Our advisory board serves as an advisory body to support the decision-making process of our board of executive officers and our shareholders [in supervising our business. Our advisory board is responsible for: (i) generating value to us, preserving our perpetuity, (ii) ensuring effective management of corporate risks, and (iii) contributing with independent assessments and recommendations that support the decision of our shareholders.

The members of our advisory board are selected among professionals with proven and relevant experience in the chemicals industry and are elected by our shareholders at our annual shareholders’
meeting. Any member may be removed by vote of our shareholders at our annual shareholders’ meeting before the expiration of his/her term. Our advisory board is currently comprised of five members.

Henri Armand Slezynger Founder and Chairman of the Advisory Board
Henri Armand Slezynger. Mr. Slezynger is our founder and holds the control of Cigel Participações S.A., our direct controlling shareholder. Henri Slezynger has been a member of the Board of Directors of Abiquim since 1981, and Chairman of this Board from 2011 to 2015. Prior to founding Unigel, he held executive positions at Pfizer do Brasil, where he worked from 1959 to 1970, and served as vice-president of the Sindicato de Resinas do Estado de São Paulo, the association of resins producers in the State of São Paulo, Brazil. He holds a bachelor’s and a master’s degree in chemical engineering from the Massachusetts Institute of Technology (MIT), and executive specialization courses from Carnegie Mellon University.
Marc Buckingham Slezynger Advisory Board Member
Marc Buckingham Slezynger. Mr. Slezynger has been a member of our advisory board since 2015 and is the vice-chairman of our advisory board. Prior to that, he held executive positions at our company, serving as an export manager (from 1993 to 1999) and finance executive (from 1999 to 2015). Marc is an entrepreneur, and is a shareholder of companies such as Spumapac, a packaging company, and Compostos Plásticos de Engenharia (CPE), a thermoplastic compounds company. He holds a bachelor’s degree in business administration and chemistry from Florida Institute of Technology and a corporate governance specialization from Instituto Brasileiro de Governança Corporativa (IBGC), a Brazilian corporate governance institute.
Franklin Feder Advisory Board Member
Franklin Feder. Mr. Feder has been a member of our advisory board since 2015. Mr. Feder is a member of the advisory board and board of directors of other organizations in Brazil, such as Instituto Ethos, World Resources Institute Brasil (WRI Brasil), Sitawi Finanças para o Bem and Companhia Brasileira de Alumínio (CBA). Mr. Feder began his career in consulting, where he was a Managing Partner at Technomic Consultores from 1978 to 1988. He worked as an advisor at Adela, Technomic, Booz, Allen & Hamilton, and afterwards held executive positions at Alcoa, where he worked for more than 20 years. He served as a Vice-President of Alcoa Inc. from 2005 to 2014. Mr. Feder holds a bachelor’s degree in business administration from Fundação Getúlio Vargas (FGV) and an MBA from IMD in Lausanne, Switzerland.
Ricardo Weiss Advisory Board Member
Ricardo Weiss. Mr. Weiss has been a member of our advisory board since 2015. Mr. Weiss is a member of the board of directors of Brazilian industrial companies, such as Usiminas, Coteminas and Tupy, and was also member of the board of directors of companies such as Alcoa Latin America, Anglo American South America, Aracruz Celulose (now Fibria), among others. Prior to that, Mr. Weiss held executive leadership positions at Anglo American’s Base Metals division, Camargo Correa S.A. and Santista Têxtil, among others. He holds a civil engineering degree from Escola Politécnica da Universidade de São Paulo (Poli-USP), an executive MBA from Fundação Getúlio Vargas (FGV) and specializations from Harvard Business School and Insead. He also has a corporate director certification from Instituto Brasileiro de Governança Corporativa (IBGC).
Paulo Schirch Advisory Board Member
Paulo Schirch. Mr. Schirch has been a member of our Advisory Board since 2017. He has more than 35 years of experience in the chemicals industry. He is a member of the board of directors of Peróxidos do Brasil, a Brazilian chemical company, and ABIQUIM. Prior to that, he held executive leadership positions in companies such as Solvay, Peróxidos do Brasil, Johnson & Johnson, and Bristol Myers-Squibb, among others. Mr. Schirch is a Ph.D. in organic chemistry from University of Oregon, in the United States. He also holds a master’s degree in medicinal chemistry from the Instituto Militar de Engenharia (IME) and bachelor’s degree in industrial pharmacy from Universidade Federal do Rio de Janeiro (UFRJ).
